    A guide to postal, online and hybrid AGM voting

    Annual General Meetings (AGMs) are a cornerstone of good governance for membership organisations such as building societies, clubs, charities and professional bodies.

    They ensure transparency and accountability and give members the opportunity to scrutinise their organisation’s performance, approve or challenge financial results and vote on key decisions.

    Votes can be cast, collected and counted via various methods – postal or online during proxy voting or in person at the meeting using voting pads, paper or their own mobile devices, which are often seen as interchangeable, yet each has a vital role to play in allowing organisations to choose the right approach for their members.

    Proxy voting – enabling representation

    Proxy voting allows a member who cannot attend an AGM to appoint someone else – a proxy – to attend and vote on their behalf.

    This is facilitated by sending the member a proxy ballot pack, either by post or online. They then appoint a proxy, for example, a fellow member who will be attending the meeting.

    Before the AGM, the member can instruct their proxy exactly how to vote or leave some decisions to the proxy’s discretion.

    Crucially, proxy votes are only counted if the proxy attends the meeting (either in person or online) – subject to each organisation’s articles of association. Proxy voting does not replace attendance – it enables representation.

    What is a postal voting system?

    Postal proxy voting allows members to receive, complete, and return paper ballots via mail. It is a long-established AGM method and remains popular with many organisations.

    Postal packs commonly include annual reports and financial statements, proposed resolutions and supporting information, venue maps and agendas. They might also include QR codes or links that allow for the online submission of proxy votes, if articles allow.

    They are highly visual and tactile and are easily accessed for members who are less digitally confident.

    However, printed postal packs can be expensive when the cost of printing, collation, outbound and return postage and processing is considered. If postal packs are combined with an online system, to allow members flexibility in submitting their proxy votes, the cost of services may also increase.

    Postal based processes can be slow too, with delivery and returns covering a number of weeks. Other drawbacks include voters forgetting to vote or missing deadlines.

    The decision whether to use postal packs very much depends on the demographics of an organisation’s membership, the available data of membership information, tradition and the organisational expectations of the membership.

    An alternative to send a full ballot pack and a more cost-effective solution is to send a single-page communication in the post to confirm voting eligibility which directs members to an online platform for documents and proxy voting.

    This approach reduces printing significantly and eliminates the cost of return postage. It’s a useful middle ground and is becoming more common as organisations transition towards a digital approach.

    Many organisations adopt a mixed approach due to the data available, sending postal packs to members without email addresses and digital communications to those with a verified email address.

    What is an online voting system?

    Online voting is undertaken via a digital platform that allows eligible voters to cast their ballots securely over the internet using a computer, tablet, or smartphone.

    These systems are designed to streamline the voting process while maintaining accuracy, confidentiality, and compliance with governance requirements.

    Where organisations hold reliable email data, proxy voting can be managed entirely online by sending members an email with:

    Secure access to the AGM voting website where they can:

    • Access all available documentation
    • Have the ability to submit proxy votes online
    • Submit questions ahead of the meeting
    • Register their attendance (Virtually or In-Person)

    This is an increasingly popular method of proxy voting as it’s significantly cheaper than the postal method, it enables faster delivery and provides the ability to track engagement, such as the email open rate, voting turnout and even the sending of reminders to vote.

    Any perceived risks associated with online voting are mitigated through end-to-end encryption, multi-factor authentication and secure hosting that ensures integrity and transparency. However, organisations should consider if this method is suitable for members uncomfortable with digital tools and whether engagement might drop due to members expecting traditional, paper communications.

    What is a hybrid voting system?

    Not to be confused with a mix of postal and online voting, hybrid voting happens during the AGM itself.

    It allows members attending the meeting in person, and those attending online, to vote at the same time on live resolutions.

    How hybrid voting works:

    • The meeting is live streamed via a secure link to those joining remotely with online voting opening and closing in real time.
    • In-room voting takes place using the mechanism chosen by the organisation, such as paper ballots or authorised devices, etc.
    • All votes are consolidated into a single count, with steps taken to ensure votes are not duplicated, such as someone submitting a physical ballot paper and also voting online.

    Hybrid voting is not the same as proxy voting. Proxy voting happens before the meeting while hybrid voting happens during it.

    Delivering a hybrid AGM

    Hybrid elections require a reliable audio-visual feed, such as Microsoft Teams or Zoom, and secure integration with the voting platform. Some larger organisations opt for a ‘live broadcast’ provider with high production values, using broadcast-quality cameras, microphones and on-site crews. The live recording can then be repurposed into a long-term digital asset, published on the organisation’s website for transparency and member engagement.

    Managing proxy and live meeting votes

    AGMs can be complex affairs with members voting for themselves, or as a proxy for someone else, and attending either online or in person.

    It demands a robust system whereby proxy instructions are preloaded ahead of the meeting, ensuring members only see the votes they are entitled to cast. The key to this is managing registrations and verifications to prevent the double-counting of physical and online votes we mentioned earlier.

    Articles of association – abiding by the rules

    Every AGM is governed by the organisation’s Articles of Association – or equivalent rules – that define notice periods for meetings and voting, whether online voting is allowed and whether postal-only, online-only or a mix of both are allowed.

    This means voting methods are often constrained not by preference, but by governance rules. Any AGM strategy should start with a review of the articles to see what is allowed.

    Creating trust in the ballot process

    Tailoring the approach for each individual client

    There is no ‘one-size-fits-all’ AGM. The most effective AGM solutions are consultative, designed around an organisation’s needs, not what is easiest to deliver.

    Cost and logistics vary in every case, based on member demographics, data quality, articles of association, meeting locations and timing (for example, a meeting on a Wednesday afternoon is likely to be cheaper than one on a Sunday), the expected attendance and level of production required.

    The Client:

    Cornish Mutual is a company based in the Southwest of England specialising in Insurance, Health and Safety, Loss Prevention and Soil Consultancy in the Agricultural sector. Being a member led organisation they strive not only to offer a wide range of benefits to their members, such as, exclusive access to discounts on everyday essentials; to championing local food retailers and sponsoring young farmer bursaries.

    The Project/Challenge:

    Cornish Mutual appointed PIN Communications to manage the proxy voting process for their Annual General Meeting (AGM). The project involved coordinating a multi-channel election for over 20,000 eligible voting members. Having supported Cornish Mutual’s AGM services for several years, PIN Communications worked closely with key stakeholders to deliver a voting system that was both familiar and user-friendly, while incorporating bespoke features to meet the client’s evolving needs. Members were invited to vote on several ordinary resolutions, including the election of new directors.

    Solution:

    PIN Communications collaborated with Cornish Mutual to refine and enhance their existing ballot pack and email communications—building on a trusted foundation to increase member engagement and voting participation.

    A dedicated online voting platform was developed, fully branded to reflect Cornish Mutual’s identity. Each member received a unique security code, granting secure access to the platform. Once logged in, members could either use a streamlined “quick vote” feature or appoint a proxy and vote on each resolution individually. The platform also enabled members to submit questions to the board ahead of the AGM.

    To support live voting on the day of the AGM, PIN Communications provided a marked register, allowing the registration team to easily identify members who had already cast their votes.

    Results

    Cornish Mutual reported high levels of member engagement following the close of proxy voting. The multi-channel communication strategy proved effective, with the online voting platform accounting for the majority of votes cast.

    Background

    Before any industrial action or other significant trade union ballot, such as a strike ballot, an indicative or consultation ballot may be undertaken to gauge member interest in the topic concerned. Indicative or consultative ballots are undertaken as a formal ballot is costly, due to being covered by legislation which forces a trade union to use a postal paper ballot or workplace ballot.

    The result of the consultation ballot (which is not legally binding) gives the Trade Union an indication if any formal ballot process is required, saving both time and money if not.

    As there is no legislation prescribing the method in which the ballot is undertaken, the most cost-effective and quickest option for a trade union is 100% digital processes using secure, online voting. In most cases, it has also been proven to increase voter turnout when internet voting is utilised.

    Communication with members

    To run a digital consultation ballot with one member and one vote, the trade union may employ a 3rd party independent scrutineer to remove any perceived bias from the process. An online secure voting site will be set up with members being sent unique, one-time-only use, voting credentials to access the ballot.

    The one-time use credential will not allow for any double voting.

    Members can be sent credentials via email or SMS text (whichever is the cheapest option) or via a 1-page letter, detailing the voting website details and voting credentials to be used.

    Independence

    Using a 3rd party independent scrutineer to ensure independence will be an essential consideration to ensure no perceived bias in any consultative result, especially if there are sensitive issues around the consultation topic.

    The scrutineer will communicate the voting credentials directly with the member and will provide the result of the consultation to the trade union after the voting process has been completed.

    Support is also provided directly to the voting member if needed for any technical issues. Also, the trade union will be supported with voter turnout details during the voting period.

    As voting member contact details will be needed, the independent scrutineer will be required to put a GDPR agreement in place before any information is passed over securely, using a secure, encrypted data transfer system.

    Online consultations can be a quick and cost-effective way to gauge member interest in trade union topics The use of an independent scrutineer will ensure the process is fully managed and trusted before any legislative process is undertaken.

    The Client:

    The Chartered College of Teaching is the professional and Chartered body for all teachers, seeking to connect, inform and inspire. It is a new member-driven organisation which aims to improve the quality of education for children and young people by supporting teachers, championing great teaching and raising the status of the teaching profession. In 2017, the Chartered College of Teaching royal charter
     was sealed.

    Democratic Project:

    The Chartered College of Teaching held its first democratic process in 2018 when it elected a new Council, President, and Vice  President. For its first elections, The Chartered College of Teaching selected PIN Communications (formerly UK Engage) to oversee the process, as we are a well-known supplier of paperless elections. The elections were extremely important for the College as for the first time, the Council, President and Vice President were elected democratically, by its members.

    Solution:

    The client’s objective was to have a successful election with lots of member participation. Therefore, PIN Communications used systems from its online solution portfolio to provide paperless elections for the College including; an online nomination form (where members could apply to stand for election); an election and engagement portal (where members could access all election-related information); and an online voting site. Furthermore, to tell members what was happening at each stage of the election, informative emails were sent to members.

    Exeter Friendly Society

    The Exeter ‘goes live’ with a broadcast meeting solution at its Hybrid AGM.

    The Client:

    The Exeter is a UK-based friendly society offering a range of insurance products including Income Protection Insurance, Health Insurance, Cashplans and Life Insurance. It is one of the United Kingdom’s largest friendly societies with over 100,000 members and more than 170 employees. Policy holders automatically become members, which represents a commitment from The Exeter’s board that every decision it makes will always be in their best interests.

    Democratic Project:

    Having worked with PIN Communications the previous year, The Exeter was aware of the scrutineer’s exemplary service levels. It, therefore, instructed the team to administer its 2021 hybrid Annual General Meeting. Members were asked to vote on 13 resolutions, which included the re-election of 10 directors. PIN Communications (formerly UK Engage) was happy to help The Exeter finalise plans for the new arrangements, which included the requirement for the friendly society to ‘go live’ to its members, via PIN Communications broadcast meeting solution.

    Solution:

    PIN Communications provided several solutions to fulfil The Exeter’s AGM requirements, which was to provide a hybrid meeting to all eligible members, giving them the opportunity to vote and attend the AGM. Online and postal proxy voting was available to members before the AGM. Members who wanted to attend and vote in person could do so virtually or physically (although for safety reasons members were advised to attend virtually).  To make the AGM even more accessible to all members, The Exeter used PIN Communications broadcast meeting technology to live stream the meeting. By using this technology, the AGM was available to all members, wherever they were.

    Nationwide Pension Fund

    PIN Communications Administers Member Nominated Trustee Director Election for Nationwide Pension Fund.

    The national independent scrutineer oversees voting before and at the AGM.

    The Client:

    Nationwide Pension Fund (the Fund) is a Defined Benefit arrangement with over 27,000 members and assets of close to £7 billion.

    The Fund is managed by a Trustee Company (the Trustee) which ensures that the Fund runs in line with its rules, legislation and best practice requirements.

    The Trustee’s Board is made up of eight directors, four nominated by Nationwide Building Society and four nominated by members of Nationwide Pension Fund.

    Member Nominated Trustee Directors are elected for a term of five years.

    Democratic Project:

    The Nationwide Pension Fund is managed by a Trustee Company (the Trustee) which ensures that the Fund is run in line with its rules, legislation and best practice requirements. In 2021, the Trustee of the Fund sought nominations for two Member Nominated Trustee vacancies from its diverse membership. Following the close of the nominations period, applications for the positions  were shortlisted by the Trustee’s panel. The four remaining candidates were shortlisted for election. Circa 26,400 eligible members of the Fund were invited to vote for the two candidates best  laced to fill the Member Nominated Trustee Director positions.

    To run this process to the standards required, the Nationwide Pension team appointed leading election services provider, PIN Communications, to run the nominations, voting, and counting of the votes for the election.

    Solution:

    ​The Nationwide Pension team chose a multichannel solution for the election, comprising of postal and online nomination and voting elements.

    Nominations:

    To encourage members of the scheme to put themselves forward for nomination, PIN Communications developed an online nomination website where members could upload their application via a secure online form. The site was built with Nationwide Pension Fund’s brand identity in mind and allowed applicants to submit their statements (to a pre-defined word count), upload their photograph and save their application for completion later, if required. PIN Communications directed members of the Fund to the nomination site via an email and a postcard, which went to members through the post.

    Election:

    Once the Trustee’s panel had shortlisted the candidates, development began on the voting solutions for the election. PIN Communications built an electronic voting site and paper ballot pack for Nationwide Pension Fund members or Fund members, in line with their brand identity and democratic requirements. Voting credentials were sent to members by email (where email addresses were known)  and post to the remaining members. Members were allocated a security code unique to them which provided access to the electronic voting site.

    Results

    The Nationwide Pension team was happy with the voter turnout of almost 11% and the service PIN Communications provided, especially the support offered by their dedicated account manager.

    PIN Communications successfully helped the Nationwide Pension team to encourage 12 nominations which far exceeded the number required to make the election contested.

    PIN Communications administers fan advisory board election for Everton Football Club

    The Client:

    Everton Football Club was founded in 1878 and is one of England’s most illustrious and storied football clubs. As founder members of the Football League and Premier League, Everton has played the greatest number of top-flight games and participated in every Premier League campaign since its creation in 1992. Everton, known as ‘The People’s Club’ is highly regarded for its fan engagement. The Club has a multi-national fanbase with passionate supporters and supporters’ clubs all forming part of the 10 million + global social media followers. Everton’s Goodison Park has an all-seated capacity of just over 39,500 and is sold-out for every single Premier League fixture. The club is currently embarking on building a new 52,888 capacity waterfront stadium in Liverpool’s North Docks and their much-loved and historic Goodison Park home will deliver a legacy for the local community through the development of housing and community facilities on the site which will complement the pioneering work of Everton in the Community.

    Democratic Project:

    Everton Football Club’s CEO Denise Barrett-Baxendale wanted to establish a Fan Advisory Board (FAB) following her involvement in the Government’s fan led review of football in
    2021.

    The Club’s CEO asked the Chair of the Everton Fans’ Forum how supporters wanted to establish dialogue with their football club at a strategic level.

    Jaz Bal, Chair of the Fans’ Forum at the time established a group of various supporters’ groups who represented different parts of the fanbase. This group became known as the
    Everton Stakeholder Steering Group (ESSG).

    The club’s commitment to a Fan Advisory Board was reaffirmed following the outcomes of its own survey on fan engagement and the future of the game, and a survey carried out by the
    ESSG with supporters.

    After the club and ESSG established a memorandum of understanding, both parties needed independent assistance in the creation of the inaugural Fan Advisory Board. It was agreed between the club and ESSG that the Board would comprise of 11 members, who represented the diversity of the fanbase. Seven of the 11 positions would go to supporters’ groups that already represent Evertonians in dialogue with the club. These were the Everton Fans’ Forum, Everton Disabled Supporters’ Association, Everton Supporters’ Club Committee, Everton Supporters’ Club Committee International, Everton Heritage Society, Everton Women Supporters’ Club and a member representing an FSA Affiliated Group. The remaining four positions were to be elected by the club’s supporters.

    An open election process run by the ESSG and supported by the club was overseen by PIN Communications (formerly UK Engage). This led to 12 candidates being identified for the four elected positions via a shortlisting process which included a panel that consisted of a representative from the ESSG, the club and two independent Evertonians – a local member of the clergy and an MP.

    The shortlisting process attempted to shortlist at least three individuals who represent a group with a protected characteristic. Any supporter registered with an Everton Fan Number (something every supporter needs when purchasing a ticket or can apply for online), would be eligible to vote for up to four candidates during the voting period.

    Solution:

    PIN Communications provided initial consultation services to ensure the governance processes were in place for a fair and structured election, including detailing the pre-set criteria for the four positions. This included a review of the election rules and terms of reference. The election was undertaken 100% online, each voting member had their own credentials to gain access to the ballot, consisting of their surname and Everton Fan Number. PIN Communications independently verified the votes cast after voting closed.

    Results

    The four candidates with the majority of votes cast were elected to their posts.

    The results also ensured that the four candidates covered the pre-set criteria, with the top-scoring candidates set to serve the longest terms:

    • One Everton Shareholder, to serve three years – Jazz Bal (14.9%)
    • One Evertonian with no further eligibility requirements, to initially serve three years – Dave Kelly (13.7%)
    • One Evertonian representing a minority group with a protected characteristic as defined in the Equality Act of 2010, to initially serve one year – Julie Clarke (13.6%)
    • One Evertonian with no further eligibility requirements, to initially serve one year – Tony Whittaker (8.3%)

    The four successful candidates were joined on the Fan Advisory Board by six representatives who had been democratically nominated by Everton supporter groups comprising the ESSG (‘reserved’ seats), with the remaining seat (FSA Affiliated Group) to be filled later.

    PIN Communications provided a full independent report to the club at the end of the process, verifying the results as the independent organisation appointed under the club’s governance rules, ensuring the process was fair, transparent, and free from any potential bias or conflicts of interest.

    Enhancing the AGM experience for the Chartered Governance Institute UK & Ireland

    The Company:

    The Chartered Governance Institute UK & Ireland (CGIUKI) has been upholding world-class governance standards since 1891. With over 10,000 members in the UK and Ireland, CGIUKI is part of a global network comprising 40,000 governance professionals. The institute plays a vital role in supporting governance professionals in achieving their objectives by providing recognition, fostering community, and amplifying the voice of its membership.

    The Project/Challenge:

    As part of their annual governance process, CGIUKI conducts an Annual General Meeting (AGM) to facilitate member participation in key decisions. For their 2025 AGM, they sought a new partner to improve their virtual meeting experience. While the voting process followed a standard AGM approach, CGIUKI had previously encountered challenges with low-quality live streaming during their 2024 virtual AGM. To address this issue, they appointed PIN Communications to deliver a more professional, high-quality solution.

    The AGM required participation from 7,599 eligible voters via post or online for the proxy voting process, and online for the actual AGM. CGIUKI wanted to ensure a smooth, engaging experience for all members at all stages of the process. One of their key motivations for partnering with PIN Communications was to explore an alternative service provider who could provide end to end services for the entire process, focusing on member engagement.

    Solution:

    PIN Communications provided a comprehensive, end-to-end service tailored to CGIUKI’s needs. This included printed proxy packs, email communications, and an online proxy voting platform to facilitate seamless member participation. Additionally, in collaboration with our audio/visual partner EpicTech, we delivered high-quality onsite services, including a live AGM meeting platform with enhanced graphical overlays to improve the virtual event experience for both members and observers.

    Our approach ensured that the voting process was both transparent and accessible. While the overall branding remained unchanged, the updated meeting graphics, developed jointly by CGIUKI, PIN Communications, and EpicTech, significantly enhanced the visual presentation. Importantly, our proxy voting services marked a new addition to CGIUKI’s election process, an element that their previous provider had not included.

    PIN Communications demonstrated the quality and reliability of services as a trusted provider of professional AGM solutions.

    The collaboration led to a significantly improved AGM experience. Key outcomes included:

    • A highly professional and accurate service that ensured smooth audio/visual delivery and a robust voting process from the proxy period through to the meeting itself.
    • An upgraded live-streaming experience with clear visuals, engaging graphical overlays, and an intuitive member interface for submitting typed questions during the meeting.
    • A dramatic increase in voter turnout, rising from 81 members in 2024 to 389 members in 2025, marking a significant 380% increase.
